Terms of service

These Terms govern your use of MoldnFly's services. By engaging with MoldnFly LLC — through the website, WhatsApp, email, or any signed agreement — you accept these Terms in full. If you do not agree, do not proceed.

1.  Who We Are

MoldnFly LLC is a California Limited Liability Company (Entity No. 202016810317) with its principal place of business in Beverly Hills, California, USA. We provide automotive procurement, export logistics, and customs coordination services for clients purchasing vehicles for import to Nigeria and West Africa.

2.  Our Service

MoldnFly acts as a procurement and logistics agent. We source vehicles from authorized US dealerships, coordinate export and ocean freight, and facilitate customs clearance through our Nigerian clearing partners. We do not manufacture, own, or warehouse vehicles. The vehicle purchase price is paid directly by the client to the authorized dealer — MoldnFly is not the seller of the vehicle.

3.  The Deal Structure

Every MoldnFly transaction is governed by a signed Service Agreement issued to the client before any funds are committed. The Service Agreement details the specific vehicle, all applicable fees, the payment structure, the delivery option selected, and the timeline. No deal is active until the Service Agreement is signed and all three vaults of the Synchronized Payment System are funded and confirmed.

4.  Payments

All payments are made in US Dollars via wire transfer unless otherwise agreed in writing. The payment structure is as follows:

▸  Vehicle purchase price: wired directly to the authorized US dealer by the client

▸  MoldnFly service fee and shipping: held in Escrow.com and released upon verified shipping milestone

▸  Customs and clearing fees: pre-funded in Naira into Payscrow before the vehicle ships

MoldnFly does not accept cash payments, personal checks, or informal transfers. Any payment made outside the agreed structure is not recognized and will not activate any service obligation.

5.  Refunds and Cancellations

The $500 Sourcing Retainer (for Custom Search orders) is non-refundable once a search has been initiated. If a deal is cancelled before the vehicle ships and funds have been committed to the dealer, the refund terms are governed by the dealer's own policies — MoldnFly will assist in facilitating any applicable refund but cannot guarantee the dealer's decision.

If MoldnFly is unable to source a vehicle that meets the agreed specification within a reasonable timeframe, the Sourcing Retainer will be refunded in full.

6.  Vehicle Condition and Warranty

All vehicles sourced by MoldnFly are obtained from authorized US franchise dealerships and are either dealer-certified or Certified Pre-Owned (CPO) at the time of purchase. MoldnFly does not provide its own vehicle warranty. Any manufacturer or dealer warranty attached to the vehicle at the time of purchase is the client's to claim directly with the relevant party.

MoldnFly is not responsible for mechanical issues that arise after the vehicle has cleared the Nigerian port and been delivered to the client.

7.  Customs Duties and Taxes

The client is responsible for all applicable Nigerian customs duties, import levies, and port fees. MoldnFly provides an estimated customs figure at the start of each deal and facilitates payment through the Payscrow escrow structure. Final customs amounts are determined by Nigerian Customs authorities and may differ from the estimate. Any shortfall must be funded by the client promptly to avoid port storage charges.

8.  Delays and Force Majeure

MoldnFly will communicate any delays promptly and work to resolve them. However, MoldnFly is not liable for delays caused by vessel scheduling, weather, port congestion, customs authority decisions, political events, strikes, or any other circumstances beyond our reasonable control.

9.  Limitation of Liability

MoldnFly's total liability in connection with any deal is limited to the value of the service fees paid to MoldnFly for that specific deal. MoldnFly is not liable for any indirect, consequential, or incidental losses, including loss of profit, loss of use, or business interruption.

10.  Governing Law

These Terms are governed by the laws of the State of California, USA. Any disputes shall be resolved in the courts of Los Angeles County, California. The client consents to this jurisdiction.

11.  Changes to These Terms

MoldnFly may update these Terms at any time. The current version is always available at moldnfly.com/terms. Continued use of our services after any update constitutes acceptance of the revised Terms.
